Summary

Enerflex is a public company, dual listed on the Toronto and the New York Stock Exchanges. With divisions in the United States, Canada, Latin America, and Eastern Hemisphere, and numerous branch offices across the world, Enerflex is well-positioned to support customers in a variety of markets.  This role will be directly with Enerflex Energy Systems Inc. (EES), which is the United States operation.  EES is the largest division in the global company and in a lot of ways is the engine for the organization.  EES is made up of four business units that are experiencing strong growth.

 

The Corporate Counsel role is an integral part of the commercial and legal teams, providing support to and working with all parts of the business, including sales, contract compression, engineering, applications, risk management, and production teams, and other business management teams such as legal, procurement and accounting. The role requires strong communication, contracts management, and negotiation skills.  The role requires extensive contract review, including drafting and the modification of customer terms and conditions. This role is responsible for tasks related to maintaining a smooth contract negotiation flow.

 

Most importantly, the corporate counsel must be able to work within and in furtherance of the organization’s core values of Integrity, Commitment, Creativity, and Success and deliver and cultivate a positive customer experience (whether it’s internal or external customers). 

Principle Responsibilities and Duties

•    Acts as the primary legal point of contact for select business units, managing commercial agreements and addressing other legal needs. 
•    Provides legal support to additional business units, operations, or procurement initiatives as needed. 
•    Reviews, drafts, and revises terms and conditions, Master Service Agreements (MSAs), and other commercial contracts to ensure alignment with company policies and standards. 
•    Offers legal counsel on risk mitigation strategies and provides general day-to-day legal guidance. 
•    Delivers training sessions to business units on topics such as contract review, risk management, and the company’s contracting protocols. 
•    Collaborates with business units to assess legacy MSAs and works with clients to update agreements in accordance with current company standards. 
•    Reviews and updates Non-Disclosure Agreements (NDAs) to ensure legal sufficiency and compliance. 
•    Participates in sales and project meetings upon request to provide legal insight and support.

Qualifications

•    Must be a licensed attorney in good standing with the Texas State Bar. 
•    Juris Doctor from a U.S. News Top 100 Law School or South Texas College of Law. 
•    Ideal candidate will have 3–6 years of relevant legal experience. 
•    Proven experience in negotiating and managing industry-specific contracts is required. 
•    Background in manufacturing or oilfield services industry is essential. 
•    Experience on the vendor side of commercial transactions. 
•    Strong interpersonal skills with the ability to negotiate complex legal terms while maintaining a collaborative and professional rapport with customer teams. 
•    Willingness to engage with clients in social settings outside the office when requested by the sales team. 
•    Proficient in reviewing and revising key legal provisions, including indemnity, warranties, waiver of damages, limitations of liability, and termination clauses. 
•    Highly detail-oriented and organized, with the ability to manage multiple priorities effectively. 
•    Excellent written and verbal communication skills are a must.

Physical Requirements

Fast-paced general office environment. Many tasks have high degrees of time sensitivity. Travel is possible on occasion.
